Welcome to Homerun Systems, operated by Halkyon Ventures Ltd (“we,” “us,” or “our”). By accessing our website (homerunsystems.com) or using our services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Services Description

Homerun Systems provides marketing automation software and services for home service contractors, including but not limited to:

  • Lead-generating websites
  • Missed call text-back system
  • Automatic lead follow-up
  • Review management system
  • One-click marketing campaigns
  • Professional phone system (powered by HighLevel/Go High Level LLC)
  • CRM and mobile app access
  • Customer support and training

Our services are designed to help contractors capture leads, respond to inquiries, and manage customer relationships more effectively.


3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Be a business owner or authorized representative
  • Have the legal authority to enter into this agreement
  • Operate a legitimate home services business
  • Comply with all applicable laws and regulations

4. Account Registration

4.1 Account Creation

To access our services, you must:

  • Complete the onboarding process
  • Provide accurate and complete business information
  • Maintain current and accurate account information
  • Keep your login credentials secure and confidential

4.2 Account Responsibility

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your password
  • Notifying us immediately of any unauthorized access
  • Ensuring your use complies with these Terms

5. Pricing and Payment

5.1 Subscription Plans

Current Pricing:

  • Monthly subscription: $297 CAD/month (locked rate)
  • No setup fees
  • No hidden fees
  • Month-to-month billing (no long-term contracts)

Important: Your subscription rate is locked at the time of sign-up. If you cancel and later return, the current pricing at that time will apply, which may be higher.

5.2 Payment Terms

  • Payments are processed monthly via credit card or other approved payment methods
  • Payment is due at the beginning of each billing cycle
  • Failed payments may result in service suspension
  • You authorize us to charge your payment method for recurring monthly fees
  • All fees are in CAD (Canadian Dollar)

5.3 Price Changes

We reserve the right to change our pricing for new customers. Your locked-in rate will remain the same unless:

  • You cancel your subscription
  • You request a plan change
  • You agree to new pricing

We will provide 30 days’ notice of any price changes that affect existing customers.

5.4 No Refunds

All payments are non-refundable. There are no refunds for:

  • Partial months of service
  • Unused features or services
  • Dissatisfaction with results (subject to our performance guarantee)

6. Free Trial and Money-Back Guarantee

6.1 Performance Guarantee

We offer a 90-day performance guarantee:

  • If you do not see qualified leads within 90 days, we will continue working for free until you do
  • “Qualified leads” are defined as genuine inquiries from potential customers in your service area
  • You must actively use the system as designed and follow our recommendations
  • Guarantee does not apply if you fail to respond to leads or provide requested information

6.2 Cancellation Right

You may cancel at any time with no penalties or cancellation fees. Upon cancellation:

  • Billing stops at the end of your current billing cycle
  • You retain access to services through the end of the paid period
  • No refund is provided for the current billing cycle

7. Service Usage and Restrictions

7.1 Acceptable Use

You agree to use our services only for lawful purposes. You may NOT:

  • Violate any local, national, or international laws
  • Send spam or unsolicited messages
  • Use the service for fraudulent activities
  • Impersonate others or provide false information
  • Interfere with or disrupt the services
  • Attempt to gain unauthorized access to our systems
  • Use the service to harass, abuse, or harm others
  • Transmit viruses, malware, or harmful code
  • Scrape or data mine our platform
  • Resell or redistribute our services without authorization

7.2 CASL Compliance (Canada)

If you operate in Canada, you must:

  • Comply with Canada’s Anti-Spam Legislation (CASL)
  • Only send commercial messages to those who have consented
  • Include identification and unsubscribe mechanisms in all messages
  • Maintain records of consent
  • Honor unsubscribe requests within 10 business days

We provide CASL-compliant tools, but YOU are responsible for how you use them.

7.3 Content Responsibility

You are solely responsible for:

  • All content you create, upload, or distribute through our platform
  • Ensuring your content does not violate any laws or third-party rights
  • Obtaining necessary licenses, permissions, or consents
  • The accuracy and legality of customer data you input

8. Intellectual Property

8.1 Our Intellectual Property

All content, features, and functionality of our services are owned by HALKYON VENTURES LTD and are protected by copyright, trademark, and other intellectual property laws.

This includes:

  • Software and code
  • Website designs and templates
  • Marketing materials and content
  • Logos and branding
  • Documentation and training materials

You may not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile our software
  • Remove copyright or proprietary notices
  • Use our trademarks without permission

8.2 Your Intellectual Property

You retain ownership of:

  • Your business name and branding
  • Content you create
  • Customer data you input
  • Photos and media you upload

By using our services, you grant us a limited license to:

  • Host and display your content
  • Use your content to provide services to you
  • Make backups and copies as necessary for service delivery

8.3 Your Google Account

You retain full ownership and control of:

  • Your Google Business Profile
  • Your Google Ads account (if applicable)
  • Your Google Analytics account
  • All associated data and reviews

We will never claim ownership of your Google accounts or data.


9. Third-Party Services

9.1 HighLevel Platform

Our services are built on the HighLevel (Go High Level LLC) platform. By using our services, you also agree to comply with HighLevel’s terms of service and acceptable use policies.

9.2 Other Integrations

We may integrate with third-party services such as:

  • Payment processors
  • Phone service providers
  • Email service providers
  • SMS providers
  • Analytics tools

These third-party services have their own terms and privacy policies. We are not responsible for their actions or policies.


10. Data and Privacy

10.1 Data Ownership

You own all customer data you input into our system, including:

  • Contact information
  • Lead data
  • Communication history
  • Customer records

10.2 Data Usage

We will:

  • Process your data only to provide services to you
  • Implement reasonable security measures
  • Not sell your data to third parties
  • Comply with applicable data protection laws

10.3 Data Portability

Upon request, we will provide your data in a commonly used format. You may export your data at any time through the platform.

10.4 Data Retention After Cancellation

After cancellation:

  • We retain your data for 30 days to allow for reactivation
  • After 30 days, we may delete your data permanently
  • You should export any data you wish to keep before canceling

11. Service Availability and Support

11.1 Service Availability

We strive to provide continuous service availability but do not guarantee uninterrupted access. Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Technical issues
  • Force majeure events
  • Third-party service disruptions

We provide:

  • Documentation and training materials
  • Onboarding assistance
  • Technical support for service issues

Support is provided during normal business hours. Response times may vary based on issue complexity and support volume.


12. Warranties and Disclaimers

12.1 Limited Warranty

We warrant that our services will perform substantially as described. We do NOT warrant:

  • Specific results or outcomes
  • Uninterrupted or error-free service
  • That our services will meet all your requirements
  • That defects will be corrected immediately

12.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Title

We do not guarantee:

  • Specific number of leads or customers
  • Revenue or business growth
  • Search engine rankings
  • Review acquisition rates

Your results depend on many factors outside our control, including your service quality, pricing, responsiveness, and market conditions.


13. Limitation of Liability

13.1 Damages Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALKYON VENTURES LTD SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Personal injury or property damage

This limitation applies even if we have been advised of the possibility of such damages.

13.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13.3 Exceptions

Some jurisdictions do not allow certain liability limitations. In such cases, our liability will be limited to the maximum extent permitted by law.


14. Indemnification

You agree to indemnify, defend, and hold harmless HALKYON VENTURES LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of third-party rights
  • Content you create or distribute through our platform
  • Your business practices and customer interactions

15. Termination

15.1 Termination by You

You may terminate your subscription at any time by emailing contact@homerunsystems.com. No friction, no hassle, no questions asked.

Termination is effective at the end of your current billing cycle.

15.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Abuse or harass our staff or other users
  • Fail to pay amounts due
  • Use the service in a way that harms others or our platform

15.3 Effect of Termination

Upon termination:

  • Your access to services will cease
  • You remain responsible for any outstanding payments
  • You should export any data you wish to retain
  • Provisions that should survive termination will remain in effect

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • We will update the “Last Updated” date
  • We will notify you via email
  • We may require you to accept the new Terms to continue using services

Your continued use of services after changes are posted constitutes acceptance of the new Terms.


17. Modifications to Services

We reserve the right to:

  • Add, modify, or discontinue features
  • Update software and systems
  • Change service specifications
  • Improve or enhance services

We will provide notice of material changes that significantly affect your use of the service.


18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

18.2 Jurisdiction

For customers in the United Kingdom: Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

For customers in Canada: Disputes may be resolved in the courts of your province or the courts of England and Wales.

For customers elsewhere: Disputes will be subject to the jurisdiction of the courts of England and Wales.

18.3 Dispute Resolution

Before initiating legal action, you agree to:

  1. Contact us at contact@homerunsystems.com to resolve the issue informally
  2. Allow 30 days for good-faith negotiations
  3. Consider mediation or arbitration if informal resolution fails

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Halkyon Ventures Ltd regarding our services.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

19.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:

  • Natural disasters
  • War or terrorism
  • Government actions
  • Internet or telecommunications failures
  • Strikes or labor disputes

19.6 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Halkyon Ventures Ltd.
